What is Minnesota’s annual renewal?

This form is filed with the Minnesota Secretary of State’s office. It may also be called a business renewal or annual report. The annual renewal keeps a company in good standing with the Minnesota Secretary of State.

The renewal can be filed by mail or online. There’s no fee if your company is currently in good standing. There is a fee if the company is not in good standing.

Your company is required to file an annual renewal if it filed a certificate of:

• Assumed Name, Foreign Business, or Non-Profit Corporation
• Cooperative
• Limited Liability Company
• Limited Liability Partnership
• Limited Partnership

What happens to companies that miss the deadline?

Annual renewals are due by December 31 st for the next year. The Secretary of State will issue a certificate of administrative dissolution to any companies that do not meet the deadline.

In addition, the company will pay a fee when filing the next annual renewal.

• Complete the form. Save or, if not using the fillable PDF, upload a scanned copy of your form.

• If your company is required to pay a fee, you will need to give banking information.
